1. Overview of Services

ShareData.io ("ShareData," "we," "our," or "us") provides (a) interactive corporate data valuation tools, (b) open-source local data scrubbing and anonymization software, (c) introductions and brokerage services connecting corporate data owners with vetted AI research laboratories and enterprise data buyers, and (d) the ShareData Affiliate Partner Program (collectively, the "Services").

By accessing our website, submitting a valuation inquiry, installing our software, or participating in our affiliate program, you agree to be bound by these Terms of Service.

2. Valuation Estimates Are Indicative Only

Any dollar range or payout estimate generated by the ShareData valuation quiz or calculator is an indicative estimate based on market benchmarks, headcount, years of operating history, and selected software systems. Estimates are not binding offers or guarantees of purchase. Actual licensing payouts depend on buyer due diligence, dataset volume, anonymization verification, and executed licensing agreements between you and the buyer.

3. Local Anonymization Software & Open-Source License

Our local scrubbing and de-identification tool is designed to run inside your own infrastructure and firewall. You are solely responsible for reviewing the scrubbed output and cryptographic manifest before authorizing any data sample or dataset transfer to a prospective buyer.

• The software is provided free of charge under its applicable open-source license, with patent-pending underlying methods where noted.
• Your scrub key remains on your servers; ShareData never takes custody of your decryption or re-identification keys.
• You represent and warrant that you have the legal authority and corporate authorization to process, anonymize, and license any corporate records you choose to market through ShareData.

4. Data Buyer Introductions & Brokerage

ShareData is free to use until a commercial licensing transaction closes. Unless otherwise agreed in a separate written agreement:

• You are under no obligation to accept any buyer offer presented through ShareData.
• No raw or scrubbed dataset is transmitted to any buyer without your explicit approval of that specific buyer and deal terms.
• Commercial terms, representations, and payout schedules for any dataset sale are governed by the definitive data licensing agreement executed at closing.

5. Affiliate Partner Program

If you participate in the ShareData Affiliate Partner Program (via `#refer=` links, `+affid` email routing, or Everflow tracking):

• Commissions are earned and payable only upon the successful closing and receipt of cleared funds from a qualified corporate data licensing transaction attributed to your referral.
• Self-referrals, fraudulent leads, spam, or misrepresentation of ShareData's Services are strictly prohibited and void any commission eligibility.

6. Acceptable Use

You agree not to:

• Submit false, misleading, or unauthorized corporate contact information through our forms;
• Attempt to upload or transmit unlawful, stolen, or third-party consumer data that you do not have the right to license;
• Interfere with or disrupt our websites, APIs, or security controls.

7. Disclaimer of Warranties

THE SERVICES AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SHAREDATA DOES NOT WARRANT THAT ANY DATA SCRUBBING PROCESS WILL REMOVE 100% OF SENSITIVE INFORMATION WITHOUT HUMAN AND LEGAL REVIEW BY YOUR ORGANIZATION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SHAREDATA OR ITS FOUNDERS, OFFICERS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Privacy & Cookies

Your use of the Services is also governed by our Privacy & Cookie Policy, which explains how we handle contact submissions, referral cookies, and scheduling data.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.
